Agreement to Terms

By accessing our website at signalandform.ca or engaging Signal & Form (“we,” “us,” or “our”) for consulting services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our website or services.

Services

Signal & Form provides AI consulting, SEO and GEO optimization, 1:1 coaching, and business launch and branding services. The specific scope, deliverables, timelines, and fees for each engagement will be outlined in a separate proposal or statement of work agreed upon by both parties before work begins.

We reserve the right to decline any project or engagement at our discretion.

Proposals and Payments

  • Proposals: All engagements begin with a discovery call followed by a written proposal outlining scope, deliverables, timeline, and fees. Proposals are valid for 30 days unless otherwise stated.
  • Payment terms: Payment terms will be specified in each proposal. For project-based work, a deposit is typically required before work begins. For retainer engagements, monthly invoices are issued at the beginning of each period.
  • Late payments: Invoices not paid within the agreed timeframe may result in work being paused until the balance is settled.
  • Currency: All prices are quoted in Canadian Dollars (CAD) unless otherwise specified.

Intellectual Property

Your Content

You retain ownership of all content, data, brand assets, and materials you provide to us for the purposes of delivering our services. By sharing these materials, you grant us a limited licence to use them solely for completing the agreed-upon work.

Our Deliverables

Upon full payment, ownership of custom deliverables (e.g., dashboards, automations, website designs, brand assets) transfers to you. We retain the right to showcase anonymized versions of the work in our portfolio and case studies, unless you request otherwise in writing.

Third-Party Tools

Some deliverables may incorporate third-party tools, platforms, or APIs (e.g., ChatGPT, Notion, Google Workspace). These remain subject to their respective terms of service and licensing. We do not claim ownership of third-party software.

Coaching and Training

Coaching and training sessions are booked on an as-needed basis. Sessions may be conducted via video call or in person, as agreed. Cancellations made less than 24 hours before a scheduled session may be subject to a cancellation fee equal to the full session rate.

Materials, templates, and prompt libraries provided during coaching sessions are for your personal or business use only and may not be redistributed or resold.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, financial data, customer information, internal processes, and any materials marked as confidential.

This obligation survives the termination of our engagement.

Disclaimers

  • No guaranteed results: While we strive for measurable outcomes, we cannot guarantee specific results from AI implementations, SEO rankings, or any other service. Search engine algorithms, AI platforms, and market conditions are outside our control.
  • Professional advice: Our services constitute consulting advice, not legal, financial, or tax advice. We recommend consulting appropriate professionals for those matters.
  • Third-party services: We are not responsible for outages, changes, or limitations of third-party tools and platforms integrated into our deliverables.

Limitation of Liability

To the maximum extent permitted by law, Signal & Form’s total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

Termination

Either party may terminate an engagement with 14 days’ written notice. Upon termination:

  • You will be invoiced for all work completed up to the termination date
  • Any deliverables completed and paid for will be transferred to you
  • Prepaid retainer hours that have not been used will be refunded on a pro-rata basis

Website Use

You agree not to use our website for any unlawful purpose, attempt to gain unauthorized access to our systems, or interfere with the proper functioning of the website. Content on our website (including blog posts, case studies, and marketing materials) is provided for informational purposes and is protected by copyright.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from these terms or our services shall be resolved in the courts of British Columbia.

Changes to These Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
